In accordance with Section 10D of the Securities Exchange Act of 1934 and Section 303A.14 of the NYSE Listed Company Manual, we have adopted an Executive Compensation Clawback Policy to recover Incentive-Based Compensation erroneously awarded to Executive Officers. This Policy applies to Incentive-Based Compensation that is approved, awarded, or granted to current or former Executive Officers on or after October 2, 2023. Luxfer has the right and obligation to recover erroneously awarded Incentive-Based Compensation in the event the Company is required to prepare an accounting restatement due to material noncompliance with any financial reporting requirements under the U.S. federal securities laws.
